Terms of Service & Pilot Licensing
Governing terms for web terminal access, sample CSV data downloads, and developer REST APIs during the CurrentDebrief evaluation pilot.
1. Contracting Party & Pre-Launch Pilot Status
CurrentDebrief ("Platform", "we", "us") operates as an independent trade corridor directory and business intelligence pilot project. By accessing the web directory, creating a free evaluation account, downloading sample CSV records, or issuing requests to our REST endpoints, you ("User" or "Client") agree to these Terms.
2. Commercial License & Scope of Use
CurrentDebrief grants Client a non-exclusive, revocable, non-transferable, non-sublicensable license to use the data exclusively for internal business diligence and legitimate trade execution:
Permitted Internal Use
- Internal CRM & Sales Operations: Ingesting business contact gateways into internal sales software (HubSpot, Salesforce, internal dispatch tools) for legitimate commercial communication.
- Cross-Border Freight & Supplier Diligence: Verifying registration numbers, corporate hubs, and depot locations of hauliers, exporters, and logistics operators across Southern and East African corridors.
- Macro Diligence & Modeling: Analyzing forex benchmarks, crude oil series, and commodity indices for strategic risk assessments.
Redistribution Prohibition
Client shall not resell, sublicense, syndicate, rent, or publicly republish raw database files, CSV dumps, or significant portions thereof to build competing commercial directories, public scraping APIs, or bulk lead marketplaces.
3. API Credentials & Rate Limits
Clients must transmit API credentials exclusively via the Authorization: Bearer YOUR_API_KEY HTTP header. Credential sharing across unrelated legal entities is prohibited.
Requests are metered against designated rate limits (Sandbox: 10 requests / min; Developer: 60 requests / min; Pipeline: 300 requests / min). Automated denial-of-service attempts or aggressive scraper queries designed to bypass token authorization will result in immediate API key suspension.
4. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by, and construed in accordance with, the commercial laws of Zimbabwe, without regard to conflict of law provisions. The parties submit to the exclusive commercial jurisdiction of the courts of Harare or recognized Southern African Development Community (SADC) commercial arbitration mechanisms.
5. Limitation of Liability & "As-Is" Disclaimers
CurrentDebrief aggregates data across African jurisdictions from official government registrars (including CIPC, DCIP, CIPA, BRS, CAC, and continental company registries), open trade gazettes, and official central banks. Because public filings are subject to administrative updates by statutory authorities, all data is delivered on an "as-is" and "as-available" basis without warranty of merchantability or fitness for a particular trade outcome.
Liability Cap: To the maximum extent permitted by applicable law, CurrentDebrief's aggregate cumulative liability arising out of or relating to this Agreement or platform use shall not exceed the amounts actually paid by Client in the thirty (30) days prior to the event giving rise to liability, or $100.00 USD during any complimentary or pilot evaluation period.
6. Cancellation & Future Refund Terms
Because commercial card billing is disabled during this pilot, users may terminate evaluation access at any time upon written notification to enterprise@currentdebrief.com. Following any formal commercial billing launch under an incorporated corporate entity, clear 14-day refund and cancellation procedures will be published and integrated into every invoice.
